1. About the Platform
1.1 Platform Description

Deliverix Pty Ltd operates "Flexi," a cloud-based fleet management SaaS platform for fleet operators who rent vehicles to renters. We provide technology infrastructure, PayTo payment processing via Zai (AFSL 527370), and administrative tools to facilitate automated payment collection and rental management.

1.2 Acceptance of Terms

By accessing or using the Flexi platform, you agree to be bound by these Terms. If you disagree, cease use immediately. Continued use after modifications constitutes acceptance.

1.3 Right to Modify

Deliverix may modify these Terms at any time with reasonable notice (30 days for material changes). Changes communicated via email or Platform notification.

1.4 Key Definitions
  • Platform/Flexi: Deliverix Pty Ltd's fleet management software, websites, apps, APIs, and services
  • Fleet Operator/Company: Businesses using the Platform to manage vehicle rentals
  • Renter: Individuals renting vehicles from fleet operators (not Platform users)
  • Services: All technology, payment processing, and administrative tools
2. Service Scope
2.1 What We Provide
  • Fleet management software for operators
  • PayTo payment processing
  • Automated invoicing and payment collection
  • Transaction tracking and reporting
  • Fleet operator account verification
  • Technical support for fleet operators
2.2 What We Do NOT Provide

Deliverix is NOT a vehicle rental company, fleet operator, insurance provider, or party to rental agreements between fleet operators and renters. We do not:

  • Directly interact with renters
  • Verify renter credentials
  • Manage vehicle condition, safety, maintenance
  • Handle rental agreement disputes

Flexi is software for fleet operators to manage their own rental operations.

3. Account Registration
3.1 Eligibility
  • Must be 18+ years old
  • Australian resident or valid work authorization
  • Provide accurate, complete information
  • Legal capacity to contract
  • Fleet Operators: Valid ABN and business registration, valid business bank account for payment processing
3.2 Required Information
  • Full legal name and contact details
  • Valid email and phone
  • Government ID
  • Fleet Operators: ABN, business registration, business bank account, beneficial owner information
3.3 Verification

All accounts undergo third-party identity verification (1-3 business days). Additional documentation may be requested. Re-verification may be required annually or following suspicious activity.

4. Acceptable Use Policy
4.1 Prohibited Activities

You must NOT:

  • Use Platform for illegal purposes
  • Interfere with security or infrastructure
  • Hack or test vulnerabilities
  • Upload viruses or malware
  • Scrape or harvest data
  • Bypass payment systems
  • Create multiple accounts
  • Impersonate others
  • Submit fraudulent documents
  • Harass or discriminate against users
4.2 Consequences

Violations result in: Account suspension/termination, content removal, forfeiture of payments, legal action, reporting to authorities

5. Subscription and Payment
5.1 Platform Fees

Transaction Fee - Applied to each successful payment processed through the Platform. Charged to renters via the payment processing system. Non-refundable except per Section 7. Current fee schedule available in fleet operator portal.

Dishonour Fee - Applied when PayTo fails due to insufficient funds. Waived only for system errors or hardship cases. Current fee schedule available in fleet operator portal.

5.2 Payment Processing

All payments via Zai Australia (ABN 96 637 632 645, AFSL 527370) using PayTo/NPP. Renters authorize PayTo mandates via their banking app. Fleet operators set rental amounts and payment schedules.

5.3 Payment Obligations

Fleet Operators:

  • Maintain accurate bank details
  • Receive payouts in 3-5 business days
  • Platform transaction fees auto-deducted
  • Manage renter relationships and payment issues

Renters:

  • Maintain sufficient funds in authorized bank accounts
  • Responsible for rental payments plus platform fees
  • Failed payments trigger automated retries (24, 48, 72 hours)
  • Fleet operators manage renter payment failures
6. Payment Methods and Security
6.1 Accepted Methods
  • Primary: PayTo via NPP (Australian accounts only)
  • Manual: Cash, EFTPOS, direct transfer (as arranged)
  • Not Accepted: International cards, PayPal, crypto
6.2 PayTo Limitations

PayTo is irrevocable with no chargeback rights. Refunds only via Deliverix dispute process.

6.3 Security

  • Fraud monitoring
  • Two-factor authentication
  • HMAC-SHA256 webhook verification
7. Refund Policy
7.1 Platform Fee Refunds

Refundable ONLY when:

  • Deliverix system errors cause duplicates
  • Technical failures prevent service
  • Payments after confirmed cancellation
  • Proven unauthorized transactions

NOT refundable for:

  • Completed transactions
  • Driver dissatisfaction with vehicle
  • Failed agreements
  • Change of mind
7.2 Dishonour Fee Refunds

Refundable ONLY when: Deliverix/Zai technical errors, bank errors (confirmed in writing), first-time offence (discretionary), approved hardship cases

7.3 Rental Payment Refunds

Governed by individual rental agreements between fleet operators and renters. Flexi processes refund transactions as instructed by fleet operators but doesn't determine eligibility or manage renter disputes.

8. Cancellation and Termination
8.1 Renter Cancellation

Renters cancel rental agreements directly with fleet operators. Flexi does not process renter account cancellations. Fleet operators manage renter relationships including cancellations, outstanding payments, and rental agreement terms.

8.2 Fleet Operator Cancellation

30 days' written notice required. During notice: Complete/transition active rentals, platform access continues, final reconciliation in 5 business days.

8.3 Termination by Deliverix

Immediate (With Cause): Breach of Terms, fraud, repeated payment failures, illegal conduct, safety violations, security threats

With Notice (60-90 Days): Platform discontinuation, regulatory changes, business model changes

9. Dispute Resolution
9.1 Internal Process

Stage 1 (48 Hours): Fleet operators resolve renter disputes directly. For Platform technical or fee disputes, contact info@deliverix.com.au

Stage 2 (7-14 Days): Escalate Platform-related issues to info@deliverix.com.au. Deliverix reviews evidence. Binding on Platform fee and technical disputes only.

Stage 3: Senior management appeal within 14 days. Final decision in 14 days.

10. Liability and Disclaimers
10.1 "As-Is" Service

PLATFORM PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. Deliverix disclaims all warranties including merchantability, fitness, accuracy, and uninterrupted operation.

10.2 No Vehicle/Renter Warranties
  • No representations about vehicle condition, safety, or suitability
  • Renter qualifications, creditworthiness, or conduct
  • Fleet operator service quality or rental terms
  • Renter information accuracy (managed by fleet operators)
  • Third-party services
10.3 Limitation of Liability

Maximum liability: Lesser of (a) fees paid in 12 months, OR (b) $500

NOT liable for: Indirect, consequential, or special damages, loss of profits or business, data loss, vehicle damage/theft, personal injury, disputes between fleet operators and renters, payment processor errors beyond our control, third-party actions

13. Privacy and Data
13.1 Collection

Registration details, ID documents, bank details (AES-256 encrypted), transaction history, device info, usage analytics, communications

13.2 Use

Provide services, process payments, verify identity, prevent fraud, comply with AML/CTF and tax, improve Platform

13.3 Sharing

With: Zai (payment processing), cloud providers (secure storage), ID verification services, law enforcement (when legally required), between fleet operators and their renters (transaction details only, as necessary for rental management)

NOT: Sold or shared for unrelated marketing

13.5 Your Rights

Under Privacy Act 1988: Access, correct, delete (subject to 7-year retention), object, export. Contact info@deliverix.com.au.

14. Compliance
14.1 AML/CTF

Identity verification, beneficial owner ID, transaction monitoring, AUSTRAC reporting, 7-year retention

14.2 Payment Compliance

NPP PayTo framework, ASIC regulations, Australian Payment Network standards, PCI DSS

14.3 Tax

GST registration, tax invoice generation, 7-year record retention
